Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Zahorulko Yevhen, an independent professional (Autónomo) established in Spain, operating under the name StyleNote AI (“StyleNote AI,” “we,” “us,” or “our”), governing your access to and use of:

• The StyleNote AI mobile application;
• The website located at https://stylenote.app; and
• Any related services, features, and functionality provided by StyleNote AI

(collectively, the “Service”).

By downloading, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service.

BY CLICKING “I ACCEPT,” OR BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SERVICE, YOU CONFIRM THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND AGREE TO BE BOUND BY THEM, INCLUDING OUR PRIVACY POLICY.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

Your use of the Service constitutes a legally binding agreement between you and StyleNote AI under these Terms.

1. Service Overview

StyleNote AI is a mobile application that enables users to:

• Convert spoken voice input into written transcripts;
• Transform text into different writing styles;
• Generate summaries of text content;
• Create and manage personal notes.

Certain features of the Service are available free of charge (“Free Service”). Additional features may require an active paid subscription purchased through the Apple App Store (“Paid Service”).

Access to Paid Service features is subject to payment of applicable subscription fees and compliance with these Terms.

2. Eligibility

You must be at least 13 years old to use the Service. If you are located in the European Economic Area (EEA), United Kingdom, or Switzerland, you must be at least 16 years old (or the minimum age required by the laws of your country) to use the Service without parental consent.

By using the Service, you represent and warrant that:

• You satisfy the applicable minimum age requirement;
• You have not previously been suspended or removed from the Service;
• Your use of the Service complies with all applicable laws and regulations.

The Service is intended for personal, non-commercial use unless expressly authorized by StyleNote AI.

3. Accounts and Registration

3.1 Account Creation

To access certain features of the Service, including subscription-based features, you must create an account.

You may register using supported authentication providers such as Apple Sign-In or Google Sign-In. When you create an account, you agree to:

• Provide accurate and complete information;
• Keep your account information up to date;
• Use the Service only for lawful purposes; and
• Comply with these Terms at all times.

We do not receive or store your Apple or Google password.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

If you believe that your account has been compromised or accessed without authorization, you must notify us promptly at: info@stylenote.app

We are not responsible for losses caused by unauthorized use of your account where such unauthorized use results from your failure to safeguard your login credentials.

3.3 Personal Use

Accounts are intended for individual, personal use unless otherwise expressly authorized by StyleNote AI.

You may not transfer your account to another person or allow others to access your account without our permission.

4. Subscriptions and Payments

Certain features of the Service require a paid subscription (“Subscription”).

All subscriptions are offered through the Apple App Store and are subject to Apple’s payment terms and conditions.

Prices are displayed in the App Store and may vary depending on your location. Applicable taxes may be included as required by law.

4.1 Subscription Billing and Auto-Renewal

Subscriptions are billed on a recurring basis (for example, monthly or annually), depending on the plan you select at the time of purchase.

By purchasing a Subscription, you authorize Apple to charge the applicable subscription fees to your Apple ID payment method.

Subscriptions renew automatically at the end of each billing period unless you cancel your subscription before the renewal date.

Your subscription will automatically renew under the same conditions unless cancelled.

You can manage or cancel your subscription at any time through your Apple App Store account settings.

Cancellation will take effect at the end of the current billing period. You will retain access to paid features until the end of the active subscription period.

4.2 Price Changes

We reserve the right to modify subscription pricing. If pricing changes apply to your subscription, Apple will notify you in accordance with its policies.

Continued use of the Subscription after renewal constitutes acceptance of the updated pricing.

4.3 Refunds

All payments are processed by Apple. Refund requests are handled by Apple in accordance with its refund policies and applicable consumer protection laws.

Nothing in these Terms limits your mandatory rights under applicable consumer protection laws, including EU consumer law.

Where applicable, by starting to use premium digital features immediately after purchase, you acknowledge that you may lose your statutory right of withdrawal for digital content once performance begins, as permitted by applicable law.

4.4 Suspension for Non-Payment

If payment for a Subscription is not successfully processed or is cancelled, your access to paid features may be suspended or terminated.

5. License to Use the Service

5.1 Limited License

Subject to your compliance with these Terms, StyleNote AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download, install, and use the StyleNote AI mobile application from the Apple App Store on a device that you own or control; and
• Access and use the Service for your personal, non-commercial purposes.

This license is granted solely for lawful use in accordance with these Terms.

5.2 License Restrictions

Except to the extent permitted by applicable law, you may not:

• Copy, reproduce, distribute, publicly display, or publicly perform the Service;
• Modify, adapt, translate, or create derivative works based on the Service;
• Reverse engineer, decompile, or attempt to extract the source code of the Service;
• Circumvent, disable, or interfere with security-related features or access controls;
• Use the Service in a manner that exceeds the scope of your subscription;
• Use the Service for unlawful, harmful, or abusive purposes.

If you are prohibited from using the Service under applicable law, you may not use it.

5.3 Feedback

If you choose to provide suggestions, ideas, or feedback regarding the Service (“Feedback”), you grant StyleNote AI a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service or other products and services without compensation to you.

You are not obligated to provide Feedback.

6. Ownership and Intellectual Property Rights

The Service, including but not limited to its software, design, visual interfaces, graphics, logos, trademarks, text, features, functionality, and underlying technology (collectively, the “Materials”), is owned by StyleNote AI and/or its licensors and is protected by applicable intellectual property laws.

All rights, title, and interest in and to the Service and the Materials remain the exclusive property of StyleNote AI or its licensors.

Except as expressly permitted under these Terms, you may not:

• Use the Materials for commercial purposes;
• Reproduce, distribute, or publicly display the Materials;
• Create derivative works based on the Materials;
• Remove any proprietary notices or labels.

No rights or licenses are granted to you except those expressly set forth in these Terms.

7. Third-Party Services

The Service may rely on or integrate with third-party services, including but not limited to:

• Apple (App Store and Apple Sign-In);
• Google (Google Sign-In);
• Google Cloud Platform (infrastructure services); and
• OpenAI (AI processing services).

Your use of third-party services may be subject to their respective terms and privacy policies. StyleNote AI does not control and is not responsible for the content, policies, or practices of third-party services.

To the extent permitted by applicable law, StyleNote AI is not liable for any loss or damage arising from your use of third-party services.

If the Service contains links to external websites or services, those websites are not under our control, and we are not responsible for their content or availability.

8. User Content

8.1 User Content

The Service allows you to input, upload, record, or otherwise provide content, including but not limited to voice recordings, transcripts, text, and other materials (“User Content”).

You retain ownership of any intellectual property rights you hold in your User Content.

StyleNote AI does not claim ownership over your User Content.

8.2 Voice Recordings and Legal Compliance

The Service may allow you to record conversations or process recorded speech.

Laws regarding the recording of conversations vary by jurisdiction. You are solely responsible for:

• Providing any required notice to participants;
• Obtaining any legally required consent; and
• Ensuring that your recording and use of conversations complies with applicable laws.

StyleNote AI is not responsible for your compliance with recording or privacy laws.

8.3 Limited License to Process User Content

You grant StyleNote AI a limited, non-exclusive, worldwide, royalty-free license to process your User Content solely for the purpose of:

• Providing the Service;
• Generating transcripts;
• Transforming text styles;
• Creating summaries;
• Enabling requested functionality.

Because transcripts and notes are stored locally on your device, StyleNote AI does not retain User Content on its servers, except to the extent necessary to transmit text to the AI processing provider for generating requested outputs.

8.4 Responsibility for User Content

You are solely responsible for your User Content and the consequences of submitting or processing it through the Service.

By using the Service, you represent and warrant that:

• You own or have the necessary rights to use the User Content;
• Your User Content does not infringe any intellectual property, privacy, or other rights of any third party;
• Your User Content does not violate any applicable laws;
• Your User Content is not unlawful, defamatory, abusive, harassing, hateful, obscene, or otherwise inappropriate.

StyleNote AI may remove or restrict access to User Content if we reasonably believe it violates these Terms or applicable law.

8.5 AI-Generated Output

The Service uses artificial intelligence systems to generate transcripts, summaries, and stylistic transformations.

AI-generated content:

• May be inaccurate or incomplete;
• May contain errors or unintended outputs;
• Should not be relied upon as legal, medical, financial, or professional advice.

You are solely responsible for reviewing and verifying AI-generated content before relying on it.

StyleNote AI does not guarantee the accuracy, completeness, or reliability of AI-generated outputs.

8.6 No Training on User Content

StyleNote AI does not use your User Content to train its own artificial intelligence models.

8.7 No Monitoring Obligation

StyleNote AI does not actively monitor User Content and has no obligation to do so.

However, we reserve the right to investigate and take appropriate action if we become aware of content that violates these Terms or applicable law.

9. Communications

9.1 Account and Service Communications

We may send you service-related communications, including:

• Account-related notifications;
• Subscription confirmations;
• Important updates regarding the Service;
• Security notifications.

These communications are necessary for providing the Service and cannot be opted out of while you maintain an active account.

9.2 Push Notifications

The Service may send push notifications to your mobile device, such as reminders or feature-related updates.

You can disable push notifications at any time through your device settings.

9.3 Marketing Communications

StyleNote AI does not send third-party marketing communications.

If we introduce optional promotional communications in the future, you will be able to opt out at any time in accordance with applicable law.

10. Prohibited Conduct

By using the Service, you agree that you will not:

1. Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law;
2. Use the Service in a way that violates the rights of others, including intellectual property, privacy, publicity, or contractual rights;
3. Record conversations or process content through the Service without obtaining any legally required notices or consents;
4. Upload, submit, or process content that is unlawful, defamatory, abusive, harassing, hateful, obscene, or otherwise inappropriate;
5. Use the Service to generate, distribute, or promote misleading, fraudulent, or harmful content;
6. Interfere with or disrupt the operation, security, or integrity of the Service;
7. Attempt to gain unauthorized access to any account, system, or network connected to the Service;
8. Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by applicable law;
9. Upload or transmit viruses, malware, or other malicious code;
10. Use automated systems (including bots or scraping tools) to access or use the Service in a manner that exceeds normal usage;
11. Resell, sublicense, or commercially exploit access to the Service without our prior written authorization;
12. Attempt to engage in any of the conduct described above or assist others in doing so.

11. Intellectual Property Complaints

StyleNote AI respects intellectual property rights and expects users to do the same.

If you believe that content processed or made available through the Service infringes your intellectual property rights, you may notify us by sending a written notice to: info@stylenote.app

Your notice should include:

• Your name and contact information;
• A description of the intellectual property right that you claim has been infringed;
• A description of the allegedly infringing material;
• A statement that you have a good faith belief that the use of the material is not authorized by the rights holder, its agent, or the law;
• A statement that the information provided is accurate and that you are the rights holder or authorized to act on their behalf.

We will review complaints and take appropriate action where necessary, which may include removing or restricting access to the content in question.

11.1 Repeat Infringers

We reserve the right to suspend or terminate the accounts of users who repeatedly infringe intellectual property rights or violate these Terms.

12. Modifications to These Terms

We may update these Terms from time to time to reflect changes in legal, technical, or business developments.

If changes materially affect your rights or obligations, we will provide reasonable notice, which may include requiring you to accept the updated Terms before continuing to use the Service.

If you do not agree to the updated Terms, you must stop using the Service.

Non-material changes take effect upon publication.

Disputes will be governed by the version of the Terms in effect at the time the relevant events occurred.

Nothing in this section limits your rights under applicable consumer protection laws.

13. Term and Termination

13.1 Term

These Terms enter into force when you first download, access, or use the Service and remain in effect until terminated in accordance with this section.

13.2 Termination by You

You may stop using the Service at any time.

You may delete your account through the App (if available) or by contacting us at: info@stylenote.app

Termination will not entitle you to a refund except where required under applicable law or Apple’s refund policies.

13.3 Termination by StyleNote AI

We may suspend or terminate your access to the Service if:

• You materially breach these Terms;
• You use the Service in an unlawful manner;
• Your conduct creates legal risk or harm to StyleNote AI or others.

Where appropriate, we may provide notice and an opportunity to remedy the breach before termination.

13.4 Effect of Termination

Upon termination:

• Your license to use the Service immediately ends;
• You must stop using the Service;
• Any outstanding payment obligations remain due.

Sections relating to intellectual property, limitation of liability, indemnification, governing law, and dispute resolution shall survive termination.

13.5 Modification or Discontinuation of the Service

We may modify, update, suspend, or discontinue parts of the Service from time to time for technical, legal, or business reasons.

Where changes materially affect paid subscriptions, we will comply with applicable consumer protection laws.

Nothing in this section limits your statutory rights under applicable law.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless StyleNote AI from third-party claims arising directly from:

• Your unlawful use of the Service;
• Your violation of these Terms;
• Your violation of third-party intellectual property, privacy, or other legal rights;
• Your unlawful recording or processing of content.

This indemnification applies only to damages that are reasonably foreseeable and directly attributable to your actions.

Nothing in this section limits your rights as a consumer under applicable law.

15. Disclaimers

The Service and all content generated through the Service, including transcripts and AI-generated outputs, are provided on an “as is” and “as available” basis.

To the extent permitted by applicable law, StyleNote AI makes no express or implied warranties regarding:

• The accuracy, completeness, or reliability of transcripts or AI-generated outputs;
• The uninterrupted or error-free operation of the Service;
• The absence of viruses or harmful components;
• The suitability of the Service for any particular purpose.

You acknowledge that:

• AI-generated outputs may be inaccurate, incomplete, biased, or inappropriate;
• AI outputs do not constitute legal, medical, financial, or professional advice;
• You are responsible for reviewing and verifying outputs before relying on them.

You are solely responsible for:

• The content you submit;
• Ensuring you have the right to process such content;
• Complying with recording and privacy laws.

Because transcripts and notes are stored locally on your device, StyleNote AI is not responsible for loss of locally stored data resulting from deletion of the App, device failure, or user action.

Nothing in these Terms excludes or limits any rights that cannot be excluded under applicable consumer protection laws.

16. Limitation of Liability

To the extent permitted by applicable law:

StyleNote AI shall not be liable for indirect or consequential damages, including loss of profits, loss of data (where stored locally on your device), loss of business opportunity, or reputational harm arising from your use of the Service.

StyleNote AI’s total liability for any claims arising out of or relating to the Service shall be limited to the total amount you paid for the Service during the twelve (12) months preceding the event giving rise to the claim.

If you have not paid for the Service, StyleNote AI’s liability shall be limited to €100.

This limitation does not apply to:

• Liability for death or personal injury caused by negligence;
• Fraud or fraudulent misrepresentation;
• Any liability that cannot be limited under applicable law.

The allocation of risk in this section forms an essential basis of the agreement between you and StyleNote AI.

17. Privacy and Data Protection

Your personal data is processed in accordance with our Privacy Policy, available at: https://stylenote.app/privacy-policy

By using the Service, you acknowledge that your personal data will be processed as described in the Privacy Policy.

17.1 Ownership of User Data

As between you and StyleNote AI, you retain ownership of any content you submit or process through the Service.

You grant StyleNote AI a limited license to process such data solely for the purpose of providing the Service, as described in these Terms and the Privacy Policy.

StyleNote AI does not use your content to train its own artificial intelligence models.

17.2 Data Protection Compliance

StyleNote AI processes personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Spanish data protection laws.

You are responsible for ensuring that you have obtained all necessary rights, notices, and consents required to process any content submitted through the Service, including voice recordings.

17.3 Security Measures

StyleNote AI implements appropriate technical and organizational measures designed to protect personal data against unauthorized access, alteration, disclosure, or destruction.

However, no system is completely secure, and we cannot guarantee absolute security.

18. Dispute Resolution and Governing Law

18.1 Amicable Resolution

We will attempt to resolve the dispute amicably and in good faith.

18.2 Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Spain.

If you are a consumer residing in the European Union, nothing in these Terms deprives you of the protection afforded to you by mandatory provisions of the law of your country of residence.

18.3 Jurisdiction

If you are a consumer, you may bring proceedings in the courts of your country of residence or in Spain.

If you are not acting as a consumer, the courts of Valencia, Spain shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any Additional Terms expressly incorporated by reference, constitute the entire agreement between you and StyleNote AI regarding your use of the Service.

19.2 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms in connection with a merger, acquisition, business restructuring, or sale of assets, provided that such assignment does not reduce your rights under these Terms.

19.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be interpreted to reflect the parties’ original intent as closely as possible, and the remaining provisions shall remain in full force and effect.

19.4 No Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

19.5 Additional Terms

Your use of certain features of the Service may be subject to additional policies or guidelines that we may publish from time to time. Such additional terms are incorporated by reference into these Terms.

19.6 Electronic Communications

By using the Service, you consent to receiving communications from us electronically, including by email or through in-app notifications.

You agree that electronic communications satisfy any legal requirement that such communications be in writing.

20. Apple App Store Terms

This Section applies if you download or use the Service through the Apple App Store.

You acknowledge that:

• These Terms are between you and StyleNote AI, not Apple Inc.
• Apple is not responsible for the Service or its content.
• Apple has no obligation to provide maintenance or support services for the Service.
• If the Service fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if applicable) in accordance with its policies.
• Apple is not responsible for addressing any claims relating to the Service, including product liability, legal compliance, or intellectual property claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

You agree to comply with all applicable App Store terms when using the Service.
